Terms of Service

Last updated: 16 October 2026

These terms are the deal between you and Viacle. We wrote them to be read: each section says who is responsible for what, and where the limits sit. By using viacle.io or a Viacle account you accept them.

The agreement

These Terms of Service, together with our Privacy Policy and any signed order form that sets your plan, fees or specific commitments, govern your use of the Viacle website and application. If an order form and these terms disagree, the order form wins for the thing it covers.

If you are agreeing on behalf of a company, you confirm you are allowed to bind that company, and "you" includes everyone in your organisation who uses the account.

What Viacle is

Viacle is a financial operating system: invoicing and receivables, bills and payables, accounting and the general ledger, cross-border payments, reconciliation, and resolution of anything that does not add up.

Viacle is software. We are not a bank, and we are not a licensed money transmitter. Customer funds are held, and money is moved, by regulated banking and payment partners. We are also not your accountant, auditor, tax adviser or lawyer — the software records and checks your numbers, it does not sign off on them.

Your account

  • Give us accurate information and keep it current, including the details needed to verify your business.
  • One login per person. Do not share credentials, and do not let anyone use an account that is not theirs.
  • Assign roles and approval limits deliberately. Activity under someone's login is treated as their activity.
  • Tell us promptly about suspected unauthorised access at security@viacle.io.

Your data

Everything you put into Viacle — your customers, suppliers, invoices, bills, ledger and documents — stays yours. You give us the permission we need to host, process and display it so the service can work, and to pass the parts our regulated partners need in order to move money and keep records straight.

You confirm you have the right to upload what you upload, and that it is lawful. You can export your data whenever you like, and you keep it when you leave.

Acceptable use

You agree not to:

  • Use Viacle for anything unlawful, including moving proceeds of crime or funding prohibited activities.
  • Submit someone else's data or documents without the right to do so.
  • Circumvent permissions, approval limits, period locks or any control in the product.
  • Interfere with the service, probe its security without permission, or overload the API.
  • Resell or provide the service to third parties as your own product without a written agreement.
  • Use Viacle to send unsolicited messages.

Moving money

When you approve a payment, you are instructing us to arrange it through a regulated partner. Currencies, corridors, methods and limits are set by that partner and can change. Beneficiary details are your responsibility — a payment sent to details you supplied is a payment sent as instructed.

We may delay, hold or refuse a transaction where fraud, sanctions, verification or the law requires it, and we will tell you why wherever we are allowed to. Where a transfer goes wrong, Viacle traces it, shows you what happened and helps you chase it — but we cannot guarantee a partner's timing, and we are not a party to the dispute between you and your supplier or customer.

Fees and billing

Fees are set out on your plan or order form and do not include taxes, which are your responsibility. Third-party charges such as bank fees and currency spreads are shown where we can obtain them, and some receiving banks deduct their own fees that we cannot see in advance. We may change fees with at least 30 days' notice; changes do not apply to a period you have already paid for.

Availability and changes

We aim to keep Viacle running and give notice of planned maintenance, but the service is provided without a guarantee of uninterrupted availability. We may add, change or retire features as the product develops, and we will tell account admins about anything that materially reduces what your account can do.

Third-party services

Parts of the service depend on banking partners, payment providers, identity screening and document extraction. Where their terms apply to you directly, they are disclosed in the product before you use them, and we are not responsible for those providers' own acts or omissions beyond what these terms allow.

Ending the agreement

You can close your account at any time. We may suspend or close an account for breach of these terms, non-payment, or where a legal or compliance obligation leaves us no choice — with notice wherever the law permits. On the way out, you get a reasonable export window to take your books, documents and history with you.

Ownership

Viacle owns the software, the interface and the know-how behind it. You own your data. Nothing here transfers either of those to the other side.

Disclaimers

Viacle checks its own work: entries balance, records tie to evidence, and anything unusual is surfaced for a human decision. It cannot prove a counterparty's side of a transaction unless that counterparty has participated or provided authenticated evidence — so where a number depends on someone else's records, treat it as one side verified, not both.

You remain responsible for your own financial statements, tax filings and regulatory filings. The service is provided "as is", to the extent the law allows, without warranties beyond what we commit to in writing.

Liability

To the extent the law allows, we exclude indirect, special and consequential losses, and our total liability for claims arising from the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Where we lose or corrupt your data through our own failure, our main obligation is to help you restore it from your export and from our backups. Nothing here limits liability that cannot lawfully be limited, including fraud and wilful misconduct.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States. If something goes wrong, tell us first — most problems are fixed faster by a person than by a lawyer, and we will always try that route before either side starts proceedings.
